This Disclaimer supplements the Terms of Service and Privacy Policy of SparkFix Technologies Inc.("SparkFix," "we," "us," or "our"). By using the SparkFix platform (the "Platform"), you acknowledge and agree to the following.
1. No Employment Relationship
SparkFix is a technology marketplace. SparkFix does not employ, supervise, direct, or control any Service Professional. All Service Professionals are independent contractors operating their own businesses. No agency, partnership, joint venture, or employment relationship exists between SparkFix and any Service Professional or between SparkFix and any Customer.
SparkFix does not: (a) set or control the hours, methods, or means by which Service Professionals perform their work; (b) provide tools, equipment, or supplies to Service Professionals; (c) guarantee any minimum volume of work to Service Professionals; (d) restrict Service Professionals from working on competing platforms or independently.
2. No Guarantee of Service Quality
While SparkFix manually vets Service Professionals before granting Platform access, this vetting process is not an endorsement, certification, guarantee, or warranty of any Service Professional's qualifications, competence, reliability, or the quality of their work.
SparkFix specifically does not guarantee:
- The quality, safety, legality, or suitability of any Services performed
- The accuracy of any information provided by Service Professionals (including bios, experience, or certifications)
- That any Service Professional holds valid insurance, licences, or WorkSafeBC coverage
- That any Service Professional will complete work to a particular standard
- That any Customer will pay a Service Professional for work performed
- That any job posting will receive bids, or that bids will meet expectations
Customers are solely responsible for independently verifying the qualifications, insurance, licences, and suitability of any Service Professional before engaging their services.
3. No Monetary Obligation Between Users
SparkFix does not process, handle, hold, escrow, or facilitate any payments between Customers and Service Professionals. All payments for Services are made directly between the parties. SparkFix has no responsibility or liability for payment disputes between Users.
SparkFix's sole revenue model is the collection of Subscription fees from Service Professionals. Customers use the Platform at no cost. SparkFix does not charge commissions, booking fees, or any other transaction-based fees.
4. Limitation of Liability for Services
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPRUCEUP SHALL NOT BE LIABLE FOR:
- Property damage arising from Services performed by Service Professionals
- Personal injury arising from Services or from interactions between Users
- Theft, loss, or destruction of property during or after a Service
- Breach of contract between a Customer and a Service Professional
- Negligent or wilful misconduct by any Service Professional
- Financial loss arising from accepting or declining a bid
- Loss of business, revenue, or anticipated savings
- Any damage caused by chemical products, cleaning methods, or tools used by Service Professionals
5. Insurance Recommendations
SparkFix strongly recommends:
For Service Professionals
Maintain Commercial General Liability (CGL) insurance of not less than $2,000,000 per occurrence, pollution liability coverage, and applicable WorkSafeBC coverage. Failure to maintain adequate insurance is a breach of the Terms of Service.
For Customers
Maintain valid homeowner's or renter's insurance and verify that any Service Professional you engage carries adequate insurance before granting access to your property.
6. AI Assistant Disclaimer
The SparkFix AI assistant provides general information and recommendations only. It does not constitute professional advice (legal, financial, medical, or otherwise). Estimates provided by the AI assistant are approximate and based on general market data — actual pricing depends on the specific Service Professional and scope of work. SparkFix makes no warranty as to the accuracy, completeness, or reliability of AI-generated responses.
7. Third-Party Links and Content
The Platform may contain links to third-party websites, resources, or services (including training materials, certification bodies, and insurance providers). SparkFix does not endorse, control, or assume responsibility for the content, privacy policies, or practices of any third-party website. Your interaction with third-party sites is governed by those sites' own terms and policies.
8. FIFA World Cup 2026 Disclaimer
SparkFix is not affiliated with, endorsed by, or sponsored by FIFA, the FIFA World Cup, the Canadian Soccer Association, BC Place, or any associated organization. All tournament names, team names, and event references are used solely to describe the timing and context of our cleaning and handyman services. All trademarks belong to their respective owners.
9. Indemnification
You agree to indemnify, defend, and hold harmless SparkFix, its officers, directors, employees, agents, and affiliates from and against all claims, damages, costs, liabilities, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Platform; (b) any Services you perform or receive; (c) your breach of any applicable law, regulation, or these terms; (d) any dispute between you and another User; (e) your negligence or wilful misconduct.
10. Severability
If any provision of this Disclaimer is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions, which shall continue in full force and effect.
11. Governing Law
This Disclaimer is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any dispute arising from this Disclaimer shall be brought exclusively in the courts of British Columbia, sitting in Vancouver.
